Competitor Contract Buyout & Free System Usage Policy

1. Purpose & Free System Usage Scope (Up to 6 Months)

This Policy is enacted by Governx (Pty) Ltd (Reg. No. 2026/475655/07) operating XDew Books.

The Contract Buyout benefit is strictly defined as Free System Usage for up to a maximum of 6 calendar months. The duration of free system usage awarded corresponds directly to the verified remaining cancellation notice period or unexpired contract term of the customer’s existing competitor subscription (up to 6 months maximum).

During this free system usage period:

• The customer enjoys full, unrestricted enterprise access to their selected XDew Books tier (including SARS VAT201, automated bank feeds, and Ozow Instant EFT).
• Recurring subscription billing on XDew Books is deferred/waived until the conclusion of the awarded free usage period.
• The customer eliminates double-billing while serving out their competitor’s contractual notice period.

2. Strict Exclusion: Non-Combinable with Any Promotional Specials

To maintain fair commercial pricing, the following exclusions apply without exception:

• Promotional Specials Excluded: The Contract Buyout (up to 6 months free system usage) cannot be applied to, combined with, or claimed on any promotional specials, including the September Special (R99/mo), 12-Month Founder Commitment (200 allocation licenses), or any other limited-seat discount campaigns.
• Standard Plans Only: Eligibility requires subscription to standard non-promotional tiers (such as Standard Business Full Suite or Base Tier).
• No Stacking: Vouchers, referral coupon codes, or other special introductory discounts cannot be stacked with the Contract Buyout benefit.

3. Proof Requirements & Submission Process

To claim your buyout and initiate your 24-hour refund, email our dedicated verification desk:

Your email submission must contain:

1. Your XDew Books registered account email and company name.
2. An attached PDF invoice, billing receipt, or screen capture showing an active paid commercial subscription with Sage Pastel, Sage Business Cloud, Xero, or QuickBooks.
3. The invoice must clearly show the provider name, company name, date within the last 90 days, or current active renewal term showing the notice requirement.

4. The 24-Hour 100% Refund Execution

Upon receiving and approving your submission:

• Immediate 100% Refund: Within 24 business hours, our billing team processes a 100% refund of your initial subscription fee directly back to your original payment method.
• Free Usage Credit Applied: Your organization’s billing cycle is credited with up to 6 months of free system usage. Billing will only resume at the standard rate after the free usage period expires.

5. Complimentary Concierge Data Migration Included

Every customer utilizing the Contract Buyout is provided complimentary data migration support:

• Assistance exporting historical Contacts (Customers & Suppliers) and Chart of Accounts from Sage, Xero, or QuickBooks.
• Ingestion and validation ensuring total Trial Balance debit/credit equilibrium ($DR \equiv CR$).
• Zero accounting downtime during the transition.

6. Terms, Limitations & Fair Use

• One Claim Per Company: Strictly limited to one contract buyout per registered legal entity, CIPC company registration number, or SARS tax reference number.
• Genuine Commercial Subscriptions Only: Free trial accounts, expired licenses, or falsified invoices are strictly disqualified.
• POPIA Compliance: In accordance with South African privacy laws, all submitted competitor invoices are permanently destroyed following verification.
